AdVenue Health Terms of Service

1. Acceptance of Terms

By accessing or using AdVenue Health, you agree to be bound by these Terms of Service. If you are a healthcare provider, you additionally confirm that your use of the platform complies with all applicable medical regulations in your jurisdiction.

2. Service Description

AdVenue Health is a cloud-based digital signage platform for medical offices. The service includes AI-generated educational content with physician approval, programmatic ad delivery with brand safety controls, and transparent revenue sharing for participating clinics.

3. Medical Disclaimer

AdVenue Health is NOT a medical device. Content displayed on our screens is for general educational purposes only and does not constitute medical advice, diagnosis, or treatment. Healthcare providers are solely responsible for reviewing and approving all content before it is displayed in their facilities.

4. Doctor-in-the-Loop Obligations

Practice managers and/or physicians must review and approve all content before it airs on clinic screens. AdVenue Health is not liable for content that has been approved by the clinic. Clinics retain the right to veto any ad category or specific advertisement at any time.

5. NPI Verification

Clinics may voluntarily provide their National Provider Identifier (NPI) number for verification. AdVenue Health verifies NPI numbers against the NPPES registry. Clinics are responsible for the accuracy of the information they provide.

6. Revenue Sharing

Participating clinics may earn up to $150 per month per screen from verified ad impressions. Revenue is calculated based on verified impressions tracked via our proof-of-play system. Monthly payouts are processed via Stripe. AdVenue Health retains a platform fee of 45% of ad revenue; the remaining 55% is paid to the clinic.

7. Brand Safety

Clinics have full control over which ad categories appear on their screens. Default blocks for the medical vertical include alcohol, tobacco, fast food, gambling, and cannabis. Clinics may add additional category blocks or veto specific advertisements at any time through the dashboard.

8. Content Ownership

AI-generated educational content is owned by AdVenue Health. Clinics are granted a non-exclusive license to display approved content on their screens for the duration of their participation. No Protected Health Information is included in any content.

9. Limitation of Liability

AdVenue Health is not liable for medical outcomes resulting from content displayed on clinic screens. AdVenue Health is not liable for ad content that has been approved by the clinic. Our maximum liability is limited to the total fees paid by the clinic in the 12 months preceding a claim.

10. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, clinic data will be available for export for 14 days. After 14 days, account data will be permanently deleted in accordance with our data retention policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
